Service terms

Terms of service

Version 2026-10-09. Business-to-business only. Vericenta contracts with organisations, not with consumers or patients, and the service is not available for personal, family or household purposes. These terms set out the commercial basis of the Vericenta service.

Company details

Your contract is with Vericenta Ltd. Our company details are:

  • Registered company name: Vericenta Ltd.
  • Company registration number: 17441523.
  • Registered office: 24 Howe End, Kirkbymoorside, York, YO62 6BD.
  • VAT status: Vericenta Ltd is not currently VAT-registered, so VAT is not currently charged. This will be updated if the company's VAT status changes.

1. Who the service is for

Vericenta is intended for healthcare organisations, clinics, practices and other business or professional users responsible for public-facing healthcare content.

2. Nature of the service

Vericenta provides professional assurance review of public-facing healthcare website and, where included, social-media content. Automated analysis supports content discovery, comparison, candidate analysis and website-quality checks; professional review remains the final control for substantive findings. Substantive findings follow the Vericenta professional-review workflow before a client report is finalised. More detail is available in the Audit methodology and Automated intelligence and professional review policy.

The service is not legal advice, legal clearance, regulatory certification, accreditation, approval by a regulator, a statutory audit, a clinical consultation or a guarantee of compliance. A report is an independent professional review designed to identify issues and improvement opportunities within the agreed scope. Recommendations are advisory: Vericenta does not take over the client's responsibility for deciding what to publish, how to implement a recommendation or whether specialist legal, regulatory or other professional advice is required.

3. Scope and review date

The review covers public content Vericenta can access and analyse within the agreed page and service scope. A report describes the website at the relevant review date. Websites, advertising rules, professional guidance and available evidence can change after that date.

Pages blocked by access controls, robots rules, technical failure or material outside the agreed domain may be excluded and should be identified in the report where relevant. Unless expressly included in writing, the service does not cover non-public or deleted material, private accounts, inaccessible paid advertising, offline campaigns, internal policies or procedures, clinical records, patient-care decisions, consent processes, regulatory filings, employment/tax/financial matters, penetration testing, comprehensive cyber-security, formal accessibility certification or a comprehensive data-protection audit.

A one-off report is a dated review, not a continuing monitoring obligation. Unless the client has an active Ongoing Assurance service, Vericenta has no continuing obligation after issue to monitor the client's content or to notify the client of later changes in content, evidence, guidance, law, regulatory interpretation or third-party/platform requirements.

3A. Social Media Assurance scope and access limitations

The free website scope check does not include a social-media assurance review. A client may provide public social-media profile URLs during intake so that the requested paid scope can be established, but substantive social-media analysis begins only as part of an eligible paid review or Ongoing Assurance service.

Where Social Media Assurance is included, Vericenta reviews only the public accounts, URLs, exports, screenshots, transcripts or other content within the agreed scope and that Vericenta can lawfully and technically retrieve or that the client supplies. Unless a different Enterprise/custom scope is agreed, the initial paid social review covers up to the previous 90 days and a maximum of 100 content units per registered account. Each report or monitoring update identifies the relevant account, review period and available coverage as complete, partial, client-supplied or unavailable where applicable.

Social-media platforms control access to their services and may change APIs, permissions, authentication requirements, privacy settings, rate limits, display behaviour or other technical restrictions without Vericenta's control. Stories and other temporary content, private or restricted material, deleted posts, some paid advertising, embedded content, comments, livestreams, and some video or audio claims may not be independently retrievable in full.

Where public or authorised platform access is incomplete, Vericenta may ask the client to provide direct links, exports, screenshots, transcripts or other evidence. Vericenta will not ask the client to disclose a social-media password. If Vericenta offers a platform connection, it will use the platform's official authorisation process.

Social monitoring is scheduled rather than continuous or real-time. A Social Media Assurance outcome applies only to the material successfully retrieved or supplied and reviewed. It does not mean that every post, advert, Story, video, comment, campaign or other item on the client's social-media presence has been identified or assessed. A statement such as “no material issue identified” is limited to the content and coverage actually reviewed and is not certification of the client's overall social-media compliance.

4. Guidance and evidence boundaries

Findings are assessed against the guidance families and sources stated in the report and the information reasonably available at the time. The review is not intended to identify or interpret every law, regulation, contractual requirement, code, local requirement or regulator expectation that may apply to the client's wider business. Vericenta may recommend supporting evidence, specialist legal advice or regulator-specific advice where a matter cannot responsibly be resolved from the content review alone. Professional assessment involves judgement: competent reviewers, regulators and other advisers may reasonably interpret the same evidence or guidance differently, and interpretations may change over time. A difference in professional opinion, without more, does not establish that Vericenta failed to exercise reasonable care and skill.

5. Your responsibilities

  • You confirm you are authorised to submit the website and associated business details for review.
  • You remain responsible for the accuracy, legality, substantiation and clinical appropriateness of material you publish.
  • You decide whether and how to implement recommendations and obtain specialist legal, regulatory or other professional advice where appropriate.
  • You must check that any suggested wording remains factually accurate for your organisation, treatment, evidence, audience, channel and circumstances before publication.
  • You must not assume that suggested wording remains suitable if reused in a materially different context or after relevant facts, guidance or evidence have changed.
  • You should tell Vericenta about relevant information that cannot reasonably be discovered from the public website or registered social-media accounts but materially affects the requested review.
  • You are responsible for identifying the public social-media accounts you want included in scope and, where platform access is incomplete, for supplying relevant inaccessible advertising or social content when reasonably requested.
  • You confirm that any testimonials, patient stories, images, screenshots, exports or other content you supply to Vericenta can lawfully be provided for the requested business assurance purpose.
  • You must not deliberately provide private patient records or unnecessary special-category personal data through the general website/social-review intake.

6. Free scope check and quotations

The free website check is a scope and pricing aid, not a clinical or regulatory report. It may estimate relevant page volume automatically. A quotation remains subject to correction where the submitted URL, site size or requested scope is materially different from the information supplied.

7. Fees and payment

The applicable one-off or recurring fee will be shown before checkout. Standard scope bands are priced from the confirmed relevant-page count; websites above 500 relevant pages use the published Enterprise block-pricing structure where the automated scope can be confirmed. If technical discovery cannot establish a complete scope, checkout may be paused for Vericenta to confirm the scope before a price is offered. Where online card payment is offered, it is processed through Stripe-hosted checkout; Vericenta does not collect or store card numbers in its application database.

If Ongoing Assurance is selected at the same time as a new Website Assurance Review, the one-off review fee covers the initial Website Assurance Review and the first month. The first recurring Ongoing Assurance payment is due one month after the order date. The client is not charged again for that initial review as part of the first recurring payment.

If a client adds Ongoing Assurance within 90 calendar days of an eligible completed Vericenta review, that review can normally be used as the starting point for monitoring so the review is not charged twice. After 90 calendar days, a fresh Website Assurance Review is required before monitoring starts.

8. Ongoing Assurance

Ongoing Assurance is a rolling monthly monitoring service following a verified Website Assurance Review. It is designed to identify relevant change between review cycles; it does not mean every website or social-media change will be detected immediately. Material changes are routed through the configured review process. Where registered public social-media accounts are included in scope, scheduled social monitoring is part of the assurance cycle subject to the access and coverage limitations in clause 3A. The selected plan includes the stated monitoring cadence, a concise monthly update on relevant regulatory or guidance developments, and the applicable broader annual assurance refresh. Regulatory updates are general information for the client's awareness; they are not legal advice, are not intended to be an exhaustive alerting service, and do not mean that every development necessarily applies to the client.

A completed Vericenta review may be used as the starting point for Ongoing Assurance within 90 calendar days of approval without automatically requiring another full Website Assurance Review. If Ongoing Assurance has ended, a restart within 90 days may reuse the previous review and monitoring history subject to a change scan; after more than 90 days a fresh Website Assurance Review is required before monitoring resumes. These rules do not bypass billing, identity or access checks.

A client may cancel Ongoing Assurance before the next billing date to prevent the next recurring charge. If a recurring monthly payment has already been taken, cancellation stops the following renewal; the paid monitoring period continues to its scheduled end and there is no pro-rata refund solely because the client cancels during that paid period. This does not affect any refund or remedy that may otherwise be required by law or expressly agreed by Vericenta.

8A. Content Checker

Active Ongoing Assurance plans include the monthly Content Checker allowance shown for the selected plan: Essential 2 submissions, Advanced 5 submissions, Comprehensive 10 submissions and Enterprise 10 submissions. Allowances reset on renewal and do not roll over.

One submission means one discrete marketing item or campaign purpose. A substantially unchanged cross-post may be treated as the same item; materially different creative, claims, audience or campaign context is a separate submission. The first follow-up revision is included where it is received within 7 calendar days, remains within the same material campaign context and is the first follow-up.

If the monthly allowance is exhausted, an additional submission may be purchased for £49 only after explicit client approval; there is no automatic overage charge. An additional submission is not charged if withdrawn before substantive checking begins. Published-social monitoring carried out as part of Ongoing Assurance does not consume the Content Checker allowance.

The standard target is within 3 working days once a complete submission has been received. This is a service target rather than a guaranteed deadline; the clock pauses while Vericenta is waiting for necessary information. Urgent or same-day review is not included in the standard service.

9. Reports and intellectual property

The client retains its rights in its own website, branding and materials. Once the applicable fee is paid, the named client receives a non-exclusive, ongoing licence to use the issued report for its own business purposes, including sharing it with employees, professional advisers, insurers, regulators and contractors who reasonably need it for the client's business. The client may use suggested replacement wording in its own content. Vericenta retains its rights in its branding, methodology, templates, software, taxonomy, internal workflows and general know-how. The report may not be resold as a competing review product or altered to imply certification, accreditation or regulatory approval. See the Intellectual property and report-use policy.

9A. Annual Healthcare Website Standards Report

Vericenta may make headline findings or a shortened edition of its annual Healthcare Website Standards Report publicly available. The full client edition is a separate client resource. A qualifying paid Website Assurance Review includes access to the then-current full client edition (or the edition designated by Vericenta for that review), and a qualifying Ongoing Assurance subscription includes access to annual client editions made available while that subscription is entitled to receive them.

Once a client has earned access to a particular annual-report edition, that entitlement is ongoing for that edition and is not removed merely because a one-off review has completed or an Ongoing Assurance subscription later ends. Future annual editions are not automatically included after entitlement has ended unless the client separately qualifies for them. Vericenta may require secure sign-in, identity verification or a refreshed secure link to protect access; expiry of an access link does not by itself end the underlying entitlement.

The full client edition is licensed to the named client for its own business use. It may be shared with the client's employees, professional advisers, insurers, regulators and contractors who reasonably need it for that business purpose, but it must not be resold, republished publicly, uploaded for unrestricted public access, distributed as a competing report product or altered to imply that it is a bespoke review, certification, accreditation or regulatory approval of the client. The annual report is sector-level information and does not replace the client's own Website Assurance Review or specialist legal, regulatory or other professional advice.

10. Confidentiality and data protection

Vericenta will handle non-public client information for the purpose of providing and administering the service and will use appropriate service providers under the production arrangements. Personal-data handling is described in the privacy notice.

Where a client is controller and instructs Vericenta to process personal data solely on that client's behalf, the Data Processing Schedule forms part of these Terms and applies to that processor activity.

11. Availability and third-party services

Vericenta depends on hosting, database, crawling, analysis, payment, email, hardware, software, network infrastructure and third-party social-media platforms and APIs. Reasonable care will be taken to maintain the service and protect information, but continuous availability, uninterrupted processing and error-free operation cannot be guaranteed. Cyber incidents, hardware or software failure, internet or hosting outages, database or backup failure, third-party service disruption, access restrictions, platform changes or other technical events may delay, interrupt or reduce the coverage of a review, monitoring run or delivery. Where reasonably practicable, Vericenta will restore service, recover available data and resume affected work, but service targets and delivery dates are not guaranteed where delay results from such events outside Vericenta's reasonable control.

12. Reliance and no third-party rights

A report is prepared solely for the named client, for the stated website/content, scope and review date and for the business purpose of improving that client's public-facing content. It is not transferable certification, approval or accreditation and must not be repurposed as due-diligence, investment, acquisition, insurance, litigation or regulatory-clearance evidence without Vericenta's prior written agreement. No third party — including regulators, commissioners, insurers, investors, platforms, purchasers or patients — may rely on it without that agreement. Except as stated, a person who is not a party to the contract has no right to enforce it.

13. Regulatory and third-party outcomes

The Care Quality Commission, the ASA and CAP, the GMC, the GDC and other regulators, commissioners, insurers and advertising or listing platforms reach their own decisions using their own criteria, evidence and processes. Vericenta cannot and does not guarantee registration, inspection outcomes, ratings, approval, the absence of complaints, investigation or enforcement, or continued compliance after the review date.

Vericenta endeavours to identify as many relevant issues and opportunities for improvement as reasonably practicable within the agreed scope, applying professional judgement and reasonable care and skill. However, no review can guarantee that every problematic claim, omission, risk or potential compliance concern will be identified. One or more issues may remain unidentified, including issues not reasonably apparent from material accessible at the relevant review date or matters outside the agreed coverage. A report is a risk-focused professional assessment, not a certificate that the content is compliant or an assurance that regulators, professional bodies or other reviewers will reach the same conclusions. The absence of a finding, whether concerning one issue or several, is not confirmation that the content, website, account or organisation is free from risk. Implementing a recommendation does not guarantee compliance or acceptance by a regulator or third party. The client remains responsible for checking and approving all published content, factual accuracy, evidence and substantiation, legal and regulatory compliance, and changes made after review. These limitations explain the nature and boundaries of the service; they do not remove Vericenta's obligation to exercise reasonable care and skill or exclude liability which cannot lawfully be excluded.

14. Liability

These provisions set out the allocation of risk between the parties. Nothing in these terms excludes or limits liability where doing so would be unlawful.

  • Never excluded: liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and any other liability that cannot lawfully be limited or excluded.
  • Financial liability cap: subject to the liabilities which cannot lawfully be limited, Vericenta's total aggregate liability arising out of or in connection with a particular one-off review shall not exceed £5,000. For claims arising out of or in connection with Ongoing Assurance, Vericenta's total aggregate liability shall not exceed £5,000. The limit applies in aggregate to all claims under the relevant engagement, whether arising in contract, tort (including negligence), misrepresentation other than fraudulent misrepresentation or otherwise, to the extent permitted by law. Separate engagements are assessed separately. This limit does not affect any liability which cannot lawfully be limited.
  • Business-loss exclusions: to the extent permitted by law, Vericenta does not accept liability for indirect or consequential loss or for loss of profit, revenue, goodwill, anticipated savings, reputation, business interruption, loss of opportunity or loss arising from delay in the client's use of the service.
  • Data loss, corruption and technical failure: to the extent permitted by law, Vericenta is not responsible for loss, corruption, deletion, unavailability or delayed processing of data where this is caused by a cyber incident, hardware or software failure, network or hosting failure, database or backup failure, third-party provider failure, platform restriction, malicious attack or other event outside Vericenta's reasonable control. This exclusion does not apply to the extent a loss is caused by Vericenta's failure to exercise the reasonable care and skill required by law. Clients should retain their own copies of material supplied to Vericenta and of important issued reports.
  • Client and third-party causes: Vericenta is not responsible for loss to the extent it results from inaccurate, incomplete or withheld client information; content outside the agreed or retrievable scope; the client's decision not to follow, or incorrectly to implement, a recommendation; later changes to content, facts, evidence, law or guidance; or decisions/actions of regulators, platforms or other third parties outside Vericenta's control.
  • Reasonable care: nothing in these terms is intended to exclude liability where Vericenta has failed to exercise the reasonable care and skill required by law and liability cannot lawfully be excluded or limited. Where appropriate, correction, clarification or re-performance will normally be the first practical remedy for an error in the service, subject to the contract and applicable law.
  • Causation and mitigation: any recoverable loss remains subject to ordinary requirements of causation, foreseeability and reasonable mitigation.

15. Ending the service

Ongoing Assurance may be cancelled at any time before the next billing date to prevent that next recurring charge. Where a monthly recurring fee has already been charged, the paid monitoring period continues until its scheduled end and cancellation prevents the following renewal rather than creating a pro-rata refund solely because of cancellation.

For a one-off review, cancellation before substantive review work begins will normally receive a full refund. Once substantive work has begun, Vericenta may deduct a reasonable amount for work already completed and necessary non-recoverable third-party costs, refunding any remaining balance. Once the final report has been approved and issued, the one-off fee is not routinely refundable because the contracted service has been delivered. If Vericenta cannot provide the contracted service or a material defect cannot reasonably be corrected, an appropriate correction, re-performance, credit or refund will be provided. Vericenta may suspend service for non-payment, unlawful use or a material security risk. See the Cancellation and refunds policy.

16. Events outside reasonable control

Neither party is liable for delay or failure caused by events outside its reasonable control, including cyber incidents, ransomware or other malicious attacks, hardware or software failure, database or backup failure, internet or hosting outages, crawling or analysis-service failure, payment or email provider outages, denial-of-service activity, third-party platform/API restrictions or changes, utility failure, industrial action or other force-majeure events. Any affected service target or delivery timetable may be extended for the period reasonably necessary to recover and resume work. Vericenta will take reasonable steps to contain the impact, restore available systems or data and resume the affected review or monitoring cycle.

17. Changes and versioning

These terms are versioned and dated. The version accepted at the point of purchase applies to that order; the version recorded with your purchase acceptance is 2026-10-09, alongside privacy notice version 2026-10-06. Changes to a recurring service will be notified before they take effect for the next billing cycle.

18. General

If any provision is found unenforceable, the remainder continues in force and the provision is applied to the maximum lawful extent. A delay in enforcing a right is not a waiver of it. The client may not assign the contract without written consent; Vericenta may assign to a successor of its business. These terms, the accepted order and the documents referenced in them form the entire agreement and replace earlier discussions on the same subject.

19. Complaints, governing law and contact

Service queries or complaints can be sent to hello@vericenta.com. Vericenta's Complaints policy explains the internal review process. A complaint does not retrospectively enlarge the agreed scope, convert a recommendation into a guarantee or create third-party reliance. These terms and the contract are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, subject to any mandatory rule that cannot lawfully be excluded.
